Terms of Service

Effective date: [Effective date]Last updated: [Date]

These Terms of Service ("Terms") are an agreement between you (the business or person buying or using our services, "Client," "you") and [Legal entity name] ("Impulsor AI," "we," "us"). They cover impulsorai.com and all services we provide, including those offered under the Impulso Digital brand. By buying or using our services, you agree to these Terms. If you are agreeing for a business, you confirm you have authority to bind it.

2.1Our services

Impulsor AI is a web and AI agency for local service businesses. We offer:

  • Smart Web Shell — a one-time website build that includes a Smart Website Chatbot that answers your customers' questions 24/7.
  • AI worker add-ons — optional monthly services, which may include the Smart Scheduling Assistant, Missed-Call Text Back, Lead Follow-Up Engine, Quote Closer, Review Booster, and Outbound Growth Engine. The AI Voice Receptionist is coming soon and is not yet available.
  • Schedule briefings — free weekly or daily schedule summaries sent by messaging app or email, included with any active AI worker.

The specific features, pricing, and setup for your services are described in your proposal, order, or invoice (your "Order"). If your Order conflicts with these Terms, the Order controls for that item.

2.2Smart Web Shell — one-time website fee

  • Price. $1,500 USD, one time, unless your Order says otherwise. [Confirm whether prices differ for CAD or LatAm clients.]
  • Payment terms. [Decision needed: e.g., 100% upfront / 50% to start and 50% before launch.] Work begins once [the first payment is received and we have your content].
  • What's included. Design and build of your website, the Smart Website Chatbot, setup of your domain, [number] pages, mobile-friendly layout, basic on-page search setup, and first-year domain registration. [Confirm full inclusion list.]
  • Revisions. Includes [number] rounds of revisions before launch. Additional changes after that, or after launch, may be quoted separately.
  • Timeline. We aim to launch within [timeframe] after we receive your content. Delays in receiving content or feedback will move the timeline.
  • Refunds. [Decision needed — e.g., "Full refund if you cancel before design work starts; [X]% refund before first draft; no refunds after launch."]

2.3Monthly AI workers — billing

  • $0 setup. Monthly AI workers have no setup fee unless your Order says otherwise.
  • Billed in advance. Monthly fees (for example, $799/month for the Outbound Growth Engine) are billed at the start of each monthly billing period.
  • Auto-renewal. Your subscription renews automatically each month at the then-current price until you cancel. We will give you at least [30] days' notice of any price change.
  • Payment method. You authorize us and our payment processor to charge your payment method on file for each billing period.
  • Failed payments. If a payment fails, we will let you know and retry. If it is still unpaid after [7] days, we may pause the affected services until payment is made, and may cancel them after [30] days.
  • Usage-based costs. [If applicable: some services, such as high-volume texting or calling, may include usage limits or pass-through charges, as described in your Order.]
  • Taxes. Prices do not include sales or similar taxes, which we will add where required.

2.4No long-term contracts — cancel anytime

Monthly services are month-to-month. There is no long-term contract and no cancellation fee. You can cancel anytime by emailing contact@impulsorai.com [or through your account]. Cancellation takes effect at the end of your current billing period; you keep the service until then, and we do not give partial-month refunds. [Confirm.]

2.5Your domain and your content

  • Your domain. Your domain name is registered in your name. We may register it on your behalf. First-year registration is included with the Smart Web Shell; renewals after that are billed at cost. You own your domain. If you leave, we will transfer it to you or your chosen registrar at no charge.
  • Your content. You own the content you give us or that is created specifically as your business's content, including your logo, text, and photos.
  • The website build. Your website is built and hosted on our hosting and design platform account. The site build itself (its design files, templates, layouts, and configuration on that platform) stays on our account. If you cancel, we will hand over your domain and your content, but not the platform build. [Lawyer to confirm wording; decide whether a buyout or export option is offered.]

2.6Your responsibilities

You agree to:

  • give us accurate, complete, and current information, and keep your business details (hours, prices, services) up to date so your website and AI workers give correct answers;
  • use our services only for lawful purposes and not to send spam, deceptive messages, or harmful content;
  • have the legal right to give us any content and any access to systems (calendar, CRM, phone, email) that you connect;
  • get and keep any required consent before we text, call, or email your contacts on your behalf, and honor opt-out requests promptly;
  • comply with all laws that apply to your communications and business, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, Canada's Anti-Spam Legislation (CASL), state telemarketing and "mini-TCPA" laws, and messaging carrier rules; and
  • give your customers any privacy notices required by law about how their information is handled, including that you use AI tools and service providers.

You are responsible for the messages sent on your behalf based on your lists, instructions, and approvals. We may pause any campaign or feature we reasonably believe breaks the law or these Terms.

2.7AI limitations

Our chatbots and AI workers use artificial intelligence. AI is useful but not perfect:

  • it may make mistakes, misunderstand questions, or give incomplete or outdated answers;
  • you are responsible for reviewing its setup, its outputs, and anything it sends that matters to your business (such as prices, quotes, and appointment terms);
  • AI outputs are not professional advice (legal, medical, financial, safety, or otherwise), and your AI assistant should not be used for emergencies; and
  • results such as more leads, bookings, or reviews are not guaranteed.

Your AI assistants will identify themselves to your customers as AI. See our AI Disclosure.

2.8Third-party services

Our services rely on third-party providers (such as our AI provider, hosting provider, scheduling provider, payment processor, and phone/text messaging provider) and on tools you connect. We are not responsible for outages, changes, or actions of third parties outside our reasonable control. Your use of a third-party tool you connect may be subject to that provider's own terms.

2.9Intellectual property

We keep all rights in our own know-how, templates, designs, prompts, workflows, software, and tools, including improvements we make while working for you (our "Materials"). While you are a client, you may use our Materials as part of the services. Except for your domain and your content (Section 2.5), nothing in these Terms transfers ownership of our Materials to you. You give us permission to use your content only to provide the services, and—[only with your permission]—to show your website in our portfolio.

2.10Confidentiality

Each of us will keep the other's non-public business information confidential, use it only to perform under these Terms, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice where allowed).

2.11Disclaimers

Except as expressly stated in these Terms, our services are provided "as is" and "as available." To the extent allowed by law, we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that services will be uninterrupted or error-free, or that they will produce specific business results.

2.12Limitation of liability

To the extent allowed by law:

  • neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and
  • our total liability for any claim relating to these Terms or the services will not exceed the fees you paid us in the [3 / 12] months before the event that caused the claim. [Decision needed.]

These limits do not apply to [your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law]. [Lawyer to confirm carve-outs.]

2.13Indemnity

You agree to defend and hold harmless Impulsor AI from claims, fines, and costs (including reasonable attorneys' fees) that arise from your content, your instructions, your contact lists, your lack of required consents, or your violation of law (including the TCPA, CAN-SPAM, or CASL) or of these Terms. [Lawyer to consider whether Impulsor AI should offer a mutual indemnity, e.g., for IP infringement by our Materials.]

2.14Termination

You may cancel as described in Section 2.4. We may suspend or end services if you do not pay, break these Terms, or use the services unlawfully, with notice where reasonable. When services end: unpaid fees become due; we will transfer your domain and hand over your content as described in Section 2.5; and we will delete or return client customer data as described in our Privacy Policy. Sections that by their nature should continue (such as payment, IP, confidentiality, disclaimers, limitation of liability, and indemnity) survive.

2.15Governing law and disputes

These Terms are governed by the laws of [State/Province of governing law], without regard to its conflict-of-law rules. Any dispute will be handled in the courts located in [County, State] [or: by binding arbitration under [rules] — decision needed]. Before filing any claim, both parties agree to try to resolve it informally for 30 days by emailing the other.

2.16Changes to these Terms

We may update these Terms. We will post the new version with a new "Last updated" date and, for material changes, notify active clients by email at least [30] days in advance. Continuing to use the services after the change takes effect means you accept it. Changes do not apply retroactively.

2.17General

These Terms, your Order, and our Privacy Policy are the entire agreement between us about the services. If any part is unenforceable, the rest remains in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of our business. Notices to us go to contact@impulsorai.com.
